Company law

Formation, restructuring, director duties, shareholder agreements, compliance matters under the Companies Act 2014 and subsequent statutory instruments. Hugh advises both Irish-resident companies and foreign corporations establishing operations in Ireland.

Commercial conveyancing

Acquisition and disposal of commercial property across Cork city and county. The work covers due diligence on title, planning compliance, environmental matters, tenancy structures, and the negotiation and execution of contracts of sale and leases. Cross-border conveyancing — Ireland and the United Kingdom — is a particular focus, drawing on Hugh's qualification in both jurisdictions.

Commercial litigation

Litigation arising from commercial relationships — contract disputes, debt recovery, breach-of-warranty claims, partnership and shareholder disputes. Where settlement is possible, structured commercial negotiation is the first instrument. Where litigation is necessary, the Dip. Comm. Lit. qualification underpins the practice.

Business transactions

Purchase and sale of businesses, asset transfers, joint venture and franchising arrangements, commercial agency agreements, and the legal structuring decisions that determine how a transaction is taxed and how risk is allocated between the parties.

Brexit advisory

Five years after the UK's departure from the European Union, the commercial implications continue to develop. Hugh advises both Irish and UK clients on cross-border supply chains, governing-law and jurisdiction clauses, the recognition and enforcement of judgments, and the operational consequences of regulatory divergence between Dublin and London.
